 BY-LAWS of

The Photography Club of Sun City Texas A Special Interest Group (SIG) of the Sun City Texas Visual Arts Club which is an Authorized Club of the Sun City Texas Community Association

ARTICLE 1 NAME AND PURPOSE

a) Name: The Photography Club of Sun City Texas, (hereinafter referred to as the “Club”) a Special Interest Group of the Sun City Texas Visual Arts Club (hereinafter referred to as the “VAC”).

b) Purpose: To promote the art and science of photography in the Sun City Texas community and to develop the skills of the Club members through hands-on experience and educational opportunities.

ARTICLE 2 MEMBERSHIP AND DUES

a) Membership in the Club is open to all residents of Sun City Texas who are in good standing in the Sun City Texas Community Association (hereinafter referred to as the “Association”) and who have paid dues to the VAC.

b) Membership in the Club grants the individual the right to hold office, vote in elections, and participate in Club-sponsored activities.

c) All Association members are qualified to join the Club. Until they choose to do so, they are considered guests.

d) All club activities other than monthly meetings are limited to members and their spouses.

e) The Club shall be operated as a non-profit organization in accordance with applicable statutes and the Club’s, VAC’s and Association’s Constitutions and By-Laws.

ARTICLE 3 MEETINGS AND ELECTIONS

a) Regular meetings of the Club will be held at a time and place stipulated by the Executive Committee. These meetings are open to the general membership.

b) The Club shall hold at least one Annual Meeting which shall be held in December and shall be open to the entire membership for the purpose of electing officers. Business meetings shall be held as deemed necessary by the Executive Board. The time and place of all of these meetings shall be determined by the Executive Board, and notice thereof posted or e-mailed thirty (30) days in advance. Each member attending such Meetings shall have one vote.

c) All meetings shall be conducted in an informal, but business-like manner. Robert’s Rules of Order shall govern the conduct of meetings except when they conflict with the Constitution or By Laws of the Club or the VAC.

d) A majority of votes at any Club Meeting shall decide any issue, motion, election or other action of the Club.

e) Executive Board meetings may be requested by any Board member. A quorum for any Board meeting shall be two-thirds of the entire Board. A majority of the quorum will decide any issue at a Board Meeting. At any Board meeting each Board Member shall have one vote.

f) A Nominating Committee consisting of the three (3) Club members appointed by the President shall nominate a candidate for each office. The Nominees shall be presented to the entire Club membership at least thirty (30) days prior to the Annual Meeting. Additional nominations may be made from the floor at the Annual Meeting or at the time the Nominating Committee presents its slate.

g) The election of officers shall be held during the fourth quarter of the VAC’s fiscal year. The new officers will assume their offices at the beginning of the new fiscal year of the VAC.

ARTICLE 4 OFFICERS’ TENURE AND DUTIES

a) The Officers and Directors are: President, Vice-President, Current Past-President, Communications Director, and Education Director. These five positions make up the Executive Committee.

b) Officers shall serve for one full term, but not more that two consecutive terms in the same office. A term is one year.

c) If an officer cannot complete the term of office for any reason, the Executive Board shall appoint a member to fill the vacancy for the remainder of the term. In the case of filling the office of President, priority will be given to filling it with the Vice-President.

d) The responsibilities and authority of the officers shall be as follows:

The President shall provide leadership and direction to the Club, its membership and the Executive Committee. The President shall preside at all meetings of the Club and the Executive Committee. The President shall be the Club’s representative to the VAC and the representative at VAC board meetings. The President shall appoint all non-elected chairpersons of committees. The President shall be the Club’s liaison with the various other clubs and organizations in Sun City Texas. The President shall act as the Club spokesperson.

The Vice President shall preside in the absence of the President. The Vice President, working in concert with the Education Director, shall be in charge of all programs and workshops for the Club. The Vice President’s primary responsibility shall be the monthly membership meetings.

The Past President’s experience and knowledge are intended to greatly help in the transition of new officers, the continuity of the Club, and external affairs. He/she will be in charge of attracting new members, and helping to retain present members. Subject to the President’s being the spokesperson for the Club, the Past President will work on developing and maintaining community relations, promoting outside exhibits in the Georgetown area, developing relationships with the local media, and working with the other officers on projects as needed. The Communications Director will assist as needed.

The Communication Director will be responsible to the President for all communications of the Club. He/she shall maintain the membership database, publish and mail the monthly newsletter to all members and prospective members; shall be responsible for the club’s monthly article in the Sun Rays magazine and a club flyer on the Social Hall bulletin board. The Communications Director will coordinate the activities of the Web Master. The Communications Director may, at the request of the President or Executive Committee, be called upon to perform other duties relating to publications and mailing and will liaison with the Past President as needed.

The Education Director shall work under the Vice President in the planning and execution of education programs and workshops. His/her primary duty will be education of the membership by emphasizing photo mechanics; photo software; field trips; workshops; competition programs; and critique sessions.

ARTICLE 5 SPONSORSHIP

a) The Club, is a Special Interest Group (SIG) of the VAC and as such, shall operate under the auspices and guidelines of the Association and the VAC.

b) The Constitution and By Laws of the Association and then the VAC shall take precedence in that order over the By Laws of the Club in the event of a conflict.

ARTICLE 6 AMENDMENT OF THE BY LAWS

a) Amendments to the By Laws may be made in the manner defined in the Constitution of the VAC.

b) Amendments may be amended by a majority vote of the membership present at a monthly meeting or at a meeting duly called for such purpose.

c) The Executive Board or any member may propose amendments to the By-Laws.

d) Amendments will become effective upon approval by the VAC and the Association.

ARTICLE 7 DISSOLUTION

a) The termination of the Club shall be made according to the By Laws of the VAC.

ARTICLE 8 APPROVAL

a) The By-Laws of the Club shall become effective after approval by the VAC. (They were approved by majority vote of the Photography Club on April 21, 2005.)
